Umia (UMIA) is an onchain venture protocol designed to combine token fundraising with market-based governance. Founders can apply to launch projects through Umia, raise capital through an onchain auction, and continue operating while tokenholders govern project treasuries through decision markets.
Overview
Umia is structured around the idea that venture projects can use blockchain infrastructure to make fundraising, treasury management, and governance more transparent. Each project launched through the protocol receives its own legal entity, which holds the project's intellectual property, team interests, and treasury.
Raised funds are held in an onchain treasury contract rather than being directly controlled by the founding team. The founding team receives a predefined monthly allowance for development and go-to-market activities, with the allowance established at formation and subject to specified recipient and purpose limits.
Fundraising and Tailored Auctions
Project fundraising takes place through a Tailored Auction, Umia's implementation of Uniswap's Continuous Clearing Auction (CCA). The auction discovers a token price over a defined period, while bids remain refundable according to the auction mechanism.
Projects can reserve portions of their token sale for their own communities. Eligibility can be established using zkTLS proofs generated through the Umia Extension, allowing participants to demonstrate qualifying activity without directly revealing their identity, accounts, or underlying data.
A portion of fundraising proceeds is automatically allocated to seed a Uniswap v4 liquidity pool. The liquidity pool is owned by the project's treasury, linking initial market liquidity to the project's onchain financial infrastructure.
Treasury Governance
Umia uses decision markets for governance beyond predefined operating allowances. A decision market is an open market in which participants assess different options for a proposed action and collectively establish a market-based view of its potential outcome.
Large expenditures, new commitments, changes to compensation, and requests to increase the founding team's allowance can therefore be submitted to tokenholder decision markets. This structure gives project tokenholders a mechanism to influence treasury decisions while keeping the underlying assets in noncustodial contracts.
Community Track
The protocol also operates a Community Track for selecting projects that can launch through Umia. Curation markets are paired against UMIA, allowing tokenholders to influence which projects applying to the platform are admitted.
Projects admitted through the Community Track provide a fixed share of their own token supply to the Umia protocol treasury. This creates an economic connection between project launches and the broader UMIA ecosystem.
UMIA Token
UMIA is the native ERC-20 token of the Umia protocol and operates on Base. The token is used to participate in governance and coordinate decision-making across the protocol.
