{"id":82253,"date":"2018-09-10T19:00:53","date_gmt":"2018-09-11T02:00:53","guid":{"rendered":"https:\/\/cryptoslate.com\/?p=82253"},"modified":"2018-09-10T17:04:57","modified_gmt":"2018-09-11T00:04:57","slug":"sec-shuts-down-two-bitcoin-and-ether-securities-calls-out-investor-confusion","status":"publish","type":"post","link":"https:\/\/cryptoslate.com\/sec-shuts-down-two-bitcoin-and-ether-securities-calls-out-investor-confusion\/","title":{"rendered":"SEC Shuts Down Two Bitcoin and Ether Securities, Calls Out &#8216;Investor Confusion&#8217;"},"content":{"rendered":"<p>The U.S Securities and Exchange Commission halted two cryptocurrency-backed securities <a href=\"https:\/\/www.sec.gov\/litigation\/suspensions\/2018\/34-84063.pdf\">on Sunday<\/a> following concerns of \u201cmarket confusion\u201d among participants.<\/p>\n<h2>ETFs Remain a Gray Zone<\/h2>\n<p>According to the SEC notice, <a href=\"https:\/\/xbtprovider.com\/\">XBT Provider\u2019s<\/a>\u00a0Bitcoin and Ether exchange-traded notes (ETNs), Bitcoin Tracker One (CXBTF) and Ether Tracker One (CETHF) will be suspended of trading until Sept. 20, due to concerns of &#8220;confusion&#8221; among retail investors regarding crypto finance instruments.<\/p>\n<blockquote class=\"twitter-tweet\" data-width=\"500\" data-dnt=\"true\">\n<p lang=\"en\" dir=\"ltr\">The Securities and Exchange Commission announced the temporary suspension of trading in the securities Bitcoin Tracker One (\u201cCXBTF\u201d) and Ether Tracker One (\u201cCETHF\u201d) commencing at 5:30 pm EDT Sept. 9, 2018 and terminating at 11:59 pm EDT Sept. 20, 2018. <a href=\"https:\/\/t.co\/5z1vEYFBFB\">https:\/\/t.co\/5z1vEYFBFB<\/a><\/p>\n<p>&mdash; SEC_News (@SEC_News) <a href=\"https:\/\/twitter.com\/SEC_News\/status\/1038909954265165824?ref_src=twsrc%5Etfw\">September 9, 2018<\/a><\/p><\/blockquote>\n<p><script async src=\"https:\/\/platform.twitter.com\/widgets.js\" charset=\"utf-8\"><\/script><\/p>\n<p><a href=\"https:\/\/www.sec.gov\/litigation\/suspensions\/2018\/34-84063-o.pdf\">Citing<\/a> a lack of \u201ccurrent, consistent and accurate information,&#8221; the trading lockdown was issued with immediate effect.<\/p>\n<p>According to the SEC, the broker-dealers submitted the product applications in the U.S. under the premise of an exchange-traded fund (ETF), despite the general populace believing the offering to be an ETN. The issuer, however, classified the products as a &#8220;non-equity linked certificate.&#8221;<\/p>\n<p>That said, the SEC called out the inconsistent, inaccurate and confusing information surrounding the XBT-issued crypto product. With this, the watchdog stated it was in \u201cpublic interest\u201d to temporarily cease trading of the two offerings.<\/p>\n<p>The statement further added:<\/p>\n<blockquote><p>\u201c[T]he Commission cautions broker-dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company.\u201d<\/p><\/blockquote>\n<p>Both the CXBTF and CETHF are issued by XBT Provider, a wholly-owned subsidiary of U.K.-based CoinShares Holdings, and are listed on the NASDAQ exchange in Stockholm.<\/p>\n<h2>ETFs and ETNs<\/h2>\n<p>Presumably, the two products attracted the watchdog\u2019s attention after being identified and labeled comparable to an ETF, a commercial offering that is more structured and secured than an ETN.<\/p>\n<p>ETFs allow investors to place bets on a fund backed by the underlying asset's massive holdings, which are adjusted in portfolio value comparable to the asset\u2019s market performance.<\/p>\n<figure id=\"attachment_77866\" aria-describedby=\"caption-attachment-77866\" style=\"width: 300px\" class=\"wp-caption alignright\"><img loading=\"lazy\" decoding=\"async\" class=\"size-medium wp-image-77866\" src=\"https:\/\/cryptoslate.com\/wp-content\/uploads\/2018\/08\/another-day-another-etf-denial-social-300x158.jpg\" alt=\"Another Day, Another ETF Denial: SEC Rejects 9 Bitcoin ETF Proposals\" width=\"300\" height=\"158\" \/><figcaption id=\"caption-attachment-77866\" class=\"wp-caption-text\">Related: <a href=\"https:\/\/cryptoslate.com\/another-day-another-etf-denial-sec-rejects-7-bitcoin-etf-proposals\/\">Another Day, Another ETF Denial: SEC Rejects 9 Bitcoin ETF Proposals<\/a><\/figcaption><\/figure>\n<p>ETNs, meanwhile, represent a bond guaranteed by a statutory underwriter and do not actively trade the assets represented, creating a high-reward investment at a more considerable risk.<\/p>\n<p>The SEC has infamously taken a hard stand toward <a href=\"http:\/\/cryptoslate.com\/coins\/bitcoin\">Bitcoin<\/a> ETFs, with nine such applications rejected in August 2018 alone.
