{"id":492700,"date":"2025-08-06T00:00:29","date_gmt":"2025-08-05T23:00:29","guid":{"rendered":"https:\/\/cryptoslate.com\/?p=492700"},"modified":"2025-08-06T01:36:00","modified_gmt":"2025-08-06T00:36:00","slug":"sec-liquid-staking-guidance-clears-last-hurdle-for-staking-in-spot-crypto-etfs","status":"publish","type":"post","link":"https:\/\/cryptoslate.com\/sec-liquid-staking-guidance-clears-last-hurdle-for-staking-in-spot-crypto-etfs\/","title":{"rendered":"SEC liquid staking guidance clears \u2018last hurdle\u2019 for staking in spot crypto ETFs"},"content":{"rendered":"<p><span style=\"font-weight: 400;\">Fresh US Securities and Exchange Commission (SEC) staff<\/span> <strong><a href=\"https:\/\/cryptoslate.com\/sec-clarifies-liquid-staking-tokens-are-receipts-not-securities\/\">guidance on liquid staking<\/a><\/strong><span style=\"font-weight: 400;\"> is stoking expectations that US regulators will soon allow staking within spot crypto exchange-traded funds (ETFs).<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Co-founder of The ETF Institute Nate Geraci called the guidance \u201c<\/span><strong><a href=\"https:\/\/x.com\/NateGeraci\/status\/1952792629860765902\">the last hurdle<\/a><\/strong><span style=\"font-weight: 400;\">\u201d before the SEC can approve staking in spot Ethereum (<a href=\"https:\/\/cryptoslate.com\/coins\/ethereum\/\">ETH<\/a>) ETFs.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Furthermore, he noted that liquid staking tokens (LSTs) would be used to manage liquidity inside funds, a key concern for the Commission.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">His comments echo the SEC Division of Corporation Finance\u2019s view that, under the structures described, liquid staking activities do not involve offers or sales of securities.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Additionally, staking receipt tokens (SRT) function as receipts for the underlying assets rather than as securities themselves.<\/span><\/p>\n<h2><strong>Industry read-through<\/strong><\/h2>\n<p><span style=\"font-weight: 400;\">LSTs allow funds to keep staked exposure liquid, maintaining on-chain staking rewards while holding a transferable receipt token that can be used for portfolio operations, collateral, or redemptions without fully unwinding staking positions.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Lucas Bruder, CEO of <a href=\"https:\/\/cryptoslate.com\/coins\/jito\/\">Jito<\/a> Labs, said in a note that the statement showed an \u201cincredibly nuanced understanding\u201d of current liquid staking arrangements.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">He added:<\/span><\/p>\n<blockquote><p><strong>\u201cWe will see expanded use for LSTs in both traditional and novel financial instruments, including ETFs.\u201d\u00a0<\/strong><\/p><\/blockquote>\n<p><span style=\"font-weight: 400;\">Regarding the impact of the decision, Bruder is looking forward to fully-staked ETFs via LSTs coming to market.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The CEO of Jito Labs and other industry players<\/span> <strong><a href=\"https:\/\/cryptoslate.com\/sec-explores-new-models-for-crypto-staking-in-etps-under-pro-crypto-leadership\/\">met with the SEC in mid-February<\/a><\/strong><span style=\"font-weight: 400;\"> to discuss staking rules for ETFs.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">According to the meeting logs, LSTs were discussed to address the agency\u2019s concerns about redemption timing. The participants highlighted that LSTs within an ETP framework avoid direct involvement in the staking process, streamlining the process.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The liquid staking statement builds on a<\/span> <strong><a href=\"https:\/\/cryptoslate.com\/sec-removes-key-hurdle-for-ethereum-etfs-by-exempting-staking-from-securities-rules\/\">May 29 staff view<\/a><\/strong><span style=\"font-weight: 400;\"> that other forms of protocol staking likewise do not require registration, and that features such as early withdrawals or slashing protection do not by themselves convert staking into a securities offering.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">However, the SEC emphasized that its view applies to administrative and ministerial provider roles and specific fact patterns.
