{"id":491741,"date":"2025-07-29T19:49:57","date_gmt":"2025-07-29T18:49:57","guid":{"rendered":"https:\/\/cryptoslate.com\/?p=491741"},"modified":"2025-07-30T00:49:35","modified_gmt":"2025-07-29T23:49:35","slug":"sec-filing-starts-countdown-on-blackrocks-ethereum-etf-staking-proposal","status":"publish","type":"post","link":"https:\/\/cryptoslate.com\/sec-filing-starts-countdown-on-blackrocks-ethereum-etf-staking-proposal\/","title":{"rendered":"SEC filing starts countdown on BlackRock\u2019s Ethereum ETF staking proposal"},"content":{"rendered":"<p><span style=\"font-weight: 400;\">The US Securities and Exchange Commission (SEC) acknowledged on July 29 a Nasdaq proposal to amend <a href=\"https:\/\/cryptoslate.com\/companies\/blackrock\/\">BlackRock's<\/a> iShares Ethereum Trust (<a href=\"https:\/\/cryptoslate.com\/products\/ishares-ethereum-trust-etf\/\">ETHA<\/a>) so the fund may stake the <a href=\"https:\/\/cryptoslate.com\/coins\/ethereum\/\">ETH<\/a> it holds.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\"><a href=\"https:\/\/cryptoslate.com\/companies\/nasdaq\/\">Nasdaq\u2019s<\/a> filing would delete a prior representation that neither BlackRock nor the custodian would use any ETH held by the exchange-traded fund (ETF) to validate Ethereum\u2019s proof\u2011of\u2011stake chain or earn income.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The proposal would add a new \u201cstaking\u201d section authorizing the stake some or all ETHA\u2019s Ethereum directly or through one or more trusted staking providers, with any staking rewards payable to the ETF and potentially treated as income.\u00a0<\/span><\/p>\n<h2><strong>Quick acknowledging<\/strong><\/h2>\n<p><span style=\"font-weight: 400;\">Nasdaq<\/span> <strong><a href=\"https:\/\/cryptoslate.com\/nasdaq-applies-to-include-staking-in-blackrocks-ethereum-etf-as-sec-weighs-broader-industry-requests\/\">filed on July 16<\/a><\/strong><span style=\"font-weight: 400;\"> to add staking to BlackRock\u2019s ETHA, seeking to add a detailed section that permits the staking directly or via trusted providers, treat rewards as income, and operate under the Corp Fin statement while securing tax clarity before launch.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Bloomberg\u2019s <a href=\"https:\/\/cryptoslate.com\/people\/james-seyffart\/\">James Seyffart<\/a> called the Nasdaq submission \u201cabout time,\u201d noting the first final deadline for earlier filings arrives in October, while Nasdaq\u2019s BlackRock filing carries an early\u2011April, 2026, deadline. Yet, he expects a decision sooner.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In the competitive queue, <a href=\"https:\/\/cryptoslate.com\/companies\/cboe-global-markets\/\">Cboe<\/a> has sought authority for <a href=\"https:\/\/cryptoslate.com\/companies\/fidelity-investments\/\">Fidelity\u2019s<\/a> <a href=\"https:\/\/cryptoslate.com\/products\/fidelity-ethereum-fund\/\">FETH<\/a>, <a href=\"https:\/\/cryptoslate.com\/companies\/franklin-templeton\/\">Franklin Templeton\u2019s<\/a> <a href=\"https:\/\/cryptoslate.com\/products\/franklin-ethereum-etf\/\">EZET<\/a>, Invesco <a href=\"https:\/\/cryptoslate.com\/companies\/galaxy-digital\/\">Galaxy\u2019s<\/a> <a href=\"https:\/\/cryptoslate.com\/products\/invesco-galaxy-ethereum-etf\/\">QETH<\/a>, and <a href=\"https:\/\/cryptoslate.com\/companies\/21shares\/\">21Shares\u2019<\/a> <a href=\"https:\/\/cryptoslate.com\/products\/21shares-core-ethereum-etf\/\">CETH<\/a>.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">At the same time, NYSE Arca is pursuing the same authorization for <a href=\"https:\/\/cryptoslate.com\/companies\/bitwise\/\">Bitwise\u2019s<\/a> <a href=\"https:\/\/cryptoslate.com\/products\/bitwise-ethereum-fund\/\">ETHW<\/a>, and <a href=\"https:\/\/cryptoslate.com\/companies\/grayscale-investments\/\">Grayscale\u2019s<\/a> <a href=\"https:\/\/cryptoslate.com\/products\/grayscale-ethereum-trust\/\">ETHE<\/a> and its <a href=\"https:\/\/cryptoslate.com\/products\/grayscale-ethereum-mini-trust\/\">mini trust<\/a>.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The rush for authorization to allow staking in spot ETFs picked up the pace after the SEC\u2019s Division of Corporation Finance<\/span> <strong><a href=\"https:\/\/cryptoslate.com\/sec-removes-key-hurdle-for-ethereum-etfs-by-exempting-staking-from-securities-rules\/\">stated on May 29<\/a><\/strong><span style=\"font-weight: 400;\"> that participants in standard protocol staking activities do not need to register those activities as securities transactions.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The regulator statement includes self\u2011staking, delegated staking, custodial staking, and non\u2011custodial staking. Additionally, service features such as early withdrawals, slashing protection, or asset aggregation do not convert staking into a securities offering under federal law by themselves.<\/span><\/p>\n<h2><strong>Rationale and review timeline<\/strong><\/h2>\n<p><span style=\"font-weight: 400;\">Nasdaq argues that permitting ETHA to stake would better align the product with Ether\u2011holding returns, improve creation and redemption efficiency, and benefit end investors.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The filing also describes staking\u2019s role in supporting Ethereum\u2019s validation process and compensating validators via block rewards.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">After publication in the Federal Register, the Commission has 45 days, extendable up to 90 days, to approve, disapprove, or institute proceedings on the proposal.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The SEC has also invited
