{"id":473163,"date":"2025-04-04T19:08:30","date_gmt":"2025-04-04T18:08:30","guid":{"rendered":"https:\/\/cryptoslate.com\/?p=473163"},"modified":"2025-04-04T19:08:30","modified_gmt":"2025-04-04T18:08:30","slug":"grayscale-moves-closer-to-solana-etf-with-sec-filing","status":"publish","type":"post","link":"https:\/\/cryptoslate.com\/grayscale-moves-closer-to-solana-etf-with-sec-filing\/","title":{"rendered":"Grayscale moves closer to Solana ETF with SEC filing"},"content":{"rendered":"<p><a href=\"https:\/\/cryptoslate.com\/companies\/grayscale-investments\/\">Grayscale<\/a> has taken the next step in its efforts to launch a spot <a href=\"https:\/\/cryptoslate.com\/coins\/solana\/\">Solana<\/a> exchange-traded fund (ETF).<\/p>\n<p>On April 4, the digital asset manager filed a <a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/1896677\/000095017025050885\/gsol_s-1.htm\">Form S-1<\/a> with the US Securities and Exchange Commission (SEC), aiming to convert its existing Grayscale Solana Trust (GSOL) into a publicly traded ETF.<\/p>\n<p data-start=\"1055\" data-end=\"1266\">Crypto traders on the decentralized prediction platform <a href=\"https:\/\/cryptoslate.com\/companies\/polymarket\/\">Polymarket<\/a> are placing the <a href=\"https:\/\/polymarket.com\/event\/solana-etf-approved-in-2025\/solana-etf-approved-in-2025\">odds<\/a> of SEC approval for a Solana ETF at 83% before the end of the year.<\/p>\n<p data-start=\"1055\" data-end=\"1266\">However, expectations for an earlier decision are lower, with just a 23% chance of approval <a href=\"https:\/\/polymarket.com\/event\/solana-etf-approved-by-july-31-2025\">predicted<\/a> before July 31.<\/p>\n<h2>Solana ETF<\/h2>\n<p>Grayscale's recent submission comes nearly four months after the firm's <a href=\"https:\/\/cryptoslate.com\/grayscale-files-application-to-convert-solana-trust-into-spot-etf\/\">initial 19b-4 filing<\/a>, which the SEC officially acknowledged on Feb. 6.<\/p>\n<p>If approved, the fund would be renamed the Grayscale Solana Trust ETF and listed on the NYSE Arca exchange.<\/p>\n<p class=\"\" data-start=\"775\" data-end=\"1053\">Grayscale also revealed that the product would start with a cash-only creation and redemption system. It added:<\/p>\n<blockquote>\n<p data-start=\"775\" data-end=\"1053\">&#8220;The Trust is not at this time able to create and redeem shares via in-kind transactions with Authorized Participants, and there has yet to be definitive regulatory guidance on whether and how registered broker-dealers can hold and deal in SOL in compliance with the federal securities laws.&#8221;<\/p>\n<\/blockquote>\n<p class=\"\" data-start=\"1055\" data-end=\"1266\"><a href=\"https:\/\/cryptoslate.com\/companies\/coinbase\/\">Coinbase<\/a> will act as the ETF's custodian, while <a href=\"https:\/\/cryptoslate.com\/companies\/bny-mellon\/\">BNY Mellon<\/a> will serve as the fund's administrator and transfer agent.<\/p>\n<h2 data-start=\"1055\" data-end=\"1266\">No staking<\/h2>\n<p>Grayscale confirmed that the ETF will not engage in staking or earn yield from Solana's proof-of-stake network.<\/p>\n<p>According to the filing:<\/p>\n<blockquote><p>&#8220;None of the Trust, the Sponsor, the Custodian, nor any other person associated with the Trust will, directly or indirectly, engage in Staking (as defined herein), meaning no action will be taken pursuant to which any portion of the Trust\u2019s SOL becomes subject to Solana proof-of-stake validation or is used to earn additional SOL or generate income or other earnings.&#8221;<\/p><\/blockquote>\n<p class=\"\" data-start=\"1495\" data-end=\"1749\">The conservative approach reflects ongoing regulatory caution. Under former SEC Chair <a href=\"https:\/\/cryptoslate.com\/people\/gary-gensler\/\">Gary Gensler<\/a>, the agency took a hard stance on staking, including lawsuits against several crypto platforms and pushback on staking features in proposed Ethereum ETFs.<\/p>\n<p class=\"\" data-start=\"1751\" data-end=\"2060\">However, with a new administration in place, <a href=\"https:\/\/cryptoslate.com\/sec-explores-new-models-for-crypto-staking-in-etps-under-pro-crypto-leadership\/\">sentiment is shifting<\/a>. Industry players are renewing efforts to <a href=\"https:\/\/cryptoslate.com\/fidelity-ethereum-etf-eyes-staking-to-boost-investor-returns\/\">integrate staking into ETF structures<\/a> for proof-of-stake assets like <a href=\"https:\/\/cryptoslate.com\/coins\/ethereum\/\">Ethereum<\/a> and Solana.
