{"id":322445,"date":"2023-05-03T15:35:41","date_gmt":"2023-05-03T14:35:41","guid":{"rendered":"https:\/\/cryptoslate.com\/?p=322445"},"modified":"2023-07-25T10:58:33","modified_gmt":"2023-07-25T09:58:33","slug":"mashinsky-argues-celsius-earn-account-are-not-securities","status":"publish","type":"post","link":"https:\/\/cryptoslate.com\/mashinsky-argues-celsius-earn-account-are-not-securities\/","title":{"rendered":"Mashinsky argues Celsius Earn account are not securities"},"content":{"rendered":"<p>Celsius co-founder and former CEO Alex Mashinksy said Celsius Earn's accounts are not securities in his defense of the New York's attorney general <a href=\"https:\/\/cryptoslate.com\/new-york-attorney-general-files-lawsuit-against-celsius-alex-mashinsky-for-defrauding-investors\/\">charges<\/a> against him, according to a May 2 court filing.<\/p>\n<h2>New York attorney general classifies Celsius Earn accounts as securities<\/h2>\n<p>In its <a href=\"https:\/\/ag.ny.gov\/sites\/default\/files\/mashinsky_complaint.pdf\">filing<\/a>, New York's attorney general Letitia James argued that Celsius Earn's account constituted securities under the Martin Act.<\/p>\n<p>According to the regulator, these accounts were securities because &#8220;investors deposited their cryptocurrency assets with Celsius with the expectation of receiving promised yields from Celsius's efforts in deploying investors' pooled assets.&#8221;<\/p>\n<h2>Mashinsky argues against it<\/h2>\n<p>However, Mashinsky <a href=\"https:\/\/iapps.courts.state.ny.us\/nyscef\/ViewDocument?docIndex=\/mPuBL5LQ5Z2OEWZ70pvhw==\">countered<\/a> that the bankrupt lender's Earn product could not be classified as securities under the Martin Act or Howey's test. According to him, New York's allegations &#8220;merely parrot the three Howey prongs.&#8221;<\/p>\n<p>Mashinsky argued that the complaints failed to plead a common enterprise, adding that &#8220;Earn Account holders' fortunes were based on a predetermined rate and were not dependent on Celsius's revenue generation.&#8221;<\/p>\n<p>The former CEO further noted that the account holders received the same guaranteed interest payment on their account \u2014 irrespective of Celsius's success or failure to deploy the assets.<\/p>\n<p>To back his claim, Mashinsky cited various legal precedents where the court ruled that no &#8220;investment contract&#8221; existed when a predetermined interest rate was involved.<\/p>\n<p>Celsius Earn's account allowed investors to deposit their digital assets on the platform to earn up to 18% interest annually. New York's attorney general said the program was the bankrupt's lender's &#8220;flagship product.&#8221;<\/p>\n<h2>SEC targeting crypto firms offering interest-bearing products<\/h2>\n<p>Under Chair Gary Gensler, the U.S. Securities and Exchange Commission (SEC) has targeted more crypto firms offering interest-bearing products.<\/p>\n<p>The financial regulator filed <a href=\"https:\/\/cryptoslate.com\/sec-charges-gemini-genesis-over-earn-program\/\">charges<\/a> against Gemini and Genesis over their defunct Earn program and <a href=\"https:\/\/cryptoslate.com\/kraken-to-end-staking-in-30m-sec-settlement\/\">fined<\/a> Kraken $30 million for its staking product.<\/p>\n<p>The SEC also <a href=\"https:\/\/cryptoslate.com\/coinbase-receives-wells-notice-from-sec\/\">issued<\/a> a Wells Notice to Coinbase and <a href=\"https:\/\/cryptoslate.com\/crypto-lending-blockfi-to-pay-100-million-fine-to-sec\/\">fined<\/a> bankrupt lender BlockFi $100 million over its Interest accounts.<\/p>\n<p>In February, the Commission <a href=\"https:\/\/www.sec.gov\/oiea\/investor-alerts-and-bulletins\/investor-bulletin-crypto-asset-interest-bearing-accounts\">issued<\/a> an investor alert on crypto interest-bearing accounts.
