{"id":288215,"date":"2023-01-12T09:00:11","date_gmt":"2023-01-12T09:00:11","guid":{"rendered":"https:\/\/cryptoslate.com\/?p=288215"},"modified":"2023-01-12T09:09:33","modified_gmt":"2023-01-12T09:09:33","slug":"grayscale-says-recent-events-will-not-affect-gbtc-conversion-case-against-sec","status":"publish","type":"post","link":"https:\/\/cryptoslate.com\/grayscale-says-recent-events-will-not-affect-gbtc-conversion-case-against-sec\/","title":{"rendered":"Grayscale says recent events will not affect GBTC conversion case against SEC"},"content":{"rendered":"<p>Grayscale's chief legal officer Craig Salm <a href=\"https:\/\/twitter.com\/CraigSalm\/status\/1613329674809008130?s=20&t=MYUQdAVuBk0zcwwLojNbeg\">said<\/a> on Jan. 12 that he does not expect the recent spate of events in the crypto space to impact its case against the SEC.<\/p>\n<h2>Recent crypto events won't impact Grayscale's case<\/h2>\n<p>According to him, the lawsuit is\u00a0<span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\">about &#8220;determinations on questions of law.&#8221; He added that despite the SEC's reluctance and perceptions of the <\/span><span class=\"r-18u37iz\">crypto<\/span><span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\"> industry, &#8220;this is a legal case about fair and equal treatment under the law.&#8221;<\/span><\/p>\n<p>Salm <a href=\"https:\/\/twitter.com\/CraigSalm\/status\/1613329676386332672?s=20&t=MYUQdAVuBk0zcwwLojNbeg\">said<\/a>:<\/p>\n<blockquote><p>&#8220;[Recent] events and speculation surrounding Terra\/LUNA, 3AC, Celsius, Voyager, FTX, Alameda, BlockFi, Genesis Capital, Gemini, DCG, or anyone else are not relevant to the ultimate question the Court will have to answer.&#8221;<\/p><\/blockquote>\n<p>He said the case is to determine if the SEC acted arbitrarily and capriciously and discriminated against issuers in denying GBTC conversion to a spot ETF. At the same time, it had approved ETFs that hold futures.<\/p>\n<h2>GBTC conversion to spot ETF could help close discount<\/h2>\n<p>Salm tweeted that the lawsuit was &#8220;most important&#8221; for the over 850,000 GBTC shareholders.<\/p>\n<p>According to him, converting GBTC to a <span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\">spot <\/span><a href=\"https:\/\/cryptoslate.com\/coins\/bitcoin\/\"><span class=\"r-18u37iz\">BTC<\/span><\/a><span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\"> ETF will &#8220;effectively close the current <a href=\"https:\/\/cryptoslate.com\/gbtc-shares-jump-12-narrowing-discount-to-38\/\">discount<\/a> to NAV and unlock over $4 billion of value.&#8221;\u00a0<\/span><\/p>\n<blockquote><p><span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\">&#8220;An ETF is unquestionably the best long-term way for <\/span><span class=\"r-18u37iz\">GBTC<\/span><span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\"> to track the value of its B<\/span><span class=\"r-18u37iz\">itcoin.&#8221;<\/span><\/p><\/blockquote>\n<p>Meanwhile, if their efforts were to fail, Salm said the firm would consider <a href=\"https:\/\/cryptoslate.com\/grayscale-may-offer-to-buyback-gbtc-if-etf-conversion-fails-ceo-says\/\">alternative solutions<\/a> to the situation. This included<span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\">\u00a0a tender offer for a portion of <\/span><span class=\"r-18u37iz\">GBTC<\/span><span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\"> shares subject to the SEC's approval.<\/span><\/p>\n<p>Salm added:<\/p>\n<blockquote><p>&#8220;A<span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\">nyone telling you <\/span><span class=\"r-18u37iz\">GBTC<\/span><span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\"> can simply redeem shares today is most likely not a lawyer, and doesn\u2019t understand the complexities of securities laws and its tender offers rules (distinct from Reg M). Just as there are approvals needed to convert <span class=\"r-18u37iz\">GBTC<\/span> to an ETF and operate an ongoing redemption, there are other distinct approvals needed for GBTC to fairly return capital to shareholders in other ways, such as through a tender offer.&#8221;<\/span><\/p><\/blockquote>\n<h2>Calls for more community support<\/h2>\n<p>Salm urged the crypto community to support its <a href=\"https:\/\/cryptoslate.com\/grayscale-files-opening-brief-in-bitcoin-etf-battle-against-sec\/\">lawsuit<\/a> because a spot Bitcoin ETF would further open up access to the digital asset. He said his firm was fighting for BTC's future and urged anyone &#8220;long Bitcoin&#8221; to support its case.<\/p>\n<p>Meanwhile, he noted that the firm already enjoys a level of support from the crypto community.
