{"id":262543,"date":"2022-09-16T11:30:41","date_gmt":"2022-09-16T10:30:41","guid":{"rendered":"https:\/\/cryptoslate.com\/?p=262543"},"modified":"2022-09-16T13:26:19","modified_gmt":"2022-09-16T12:26:19","slug":"ethereum-security-question-rages-post-merge","status":"publish","type":"post","link":"https:\/\/cryptoslate.com\/ethereum-security-question-rages-post-merge\/","title":{"rendered":"Debate rages over whether Ethereum can be considered a security post-Merge"},"content":{"rendered":"<p>Less than 24 hours after Ethereum (<a href=\"https:\/\/cryptoslate.com\/coins\/ethereum\/\">ETH<\/a>) <a href=\"https:\/\/cryptoslate.com\/ethereum-completes-switch-to-pos-after-merging-beacon-consensus-chains\/\">completed<\/a> its transition to proof-of-stake, the crypto community is enmeshed in arguments about whether the asset can now be considered a security or not.<\/p>\n<h2>SEC chairman statement<\/h2>\n<p>The Wall Street Journal <a href=\"https:\/\/www.wsj.com\/articles\/ethers-new-staking-model-could-draw-sec-attention-11663266224\">reported<\/a> that US Securities and Exchange Commission (SEC) chairman Gary Gensler said cryptocurrencies that allow staking could qualify as securities under the Howey test.<\/p>\n<p>Gensler made this statement after a congressional hearing where he <a href=\"https:\/\/cryptoslate.com\/sec-chair-gensler-reiterates-that-most-crypto-are-securities-before-us-banking-committee\/\">reiterated<\/a> his belief that most crypto assets are securities. He said:<\/p>\n<blockquote><p>\u201cFrom the coin\u2019s perspective\u2026that\u2019s another indicia that under the Howey test, the investing public is anticipating profits based on the efforts of others.\u201d<\/p><\/blockquote>\n<p>Gensler continued that intermediaries like crypto exchanges offering staking services offer services similar to lending even if there are changes in the labeling.<\/p>\n<p>Gensler did not specify a crypto asset.<\/p>\n<h2>Community debates if Ethereum is security<\/h2>\n<p>Some within the crypto community argued that Gensler's statement meant that Ethereum could now be classified as a security.<\/p>\n<p>With Ethereum's migration to PoS, the asset joins several other smart contract-enabled blockchains that use staking mechanisms to secure their network.<\/p>\n<blockquote class=\"twitter-tweet\" data-width=\"500\" data-dnt=\"true\">\n<p lang=\"en\" dir=\"ltr\">SEC chair says system used by Ethereum following software update could trigger securities laws. I have been saying this for over 6 years that POW to POS transitions can draw regulatory attention.<a href=\"https:\/\/t.co\/3N7v5bcgBo\">https:\/\/t.co\/3N7v5bcgBo<\/a><\/p>\n<p>&mdash; Gabor Gurbacs (@gaborgurbacs) <a href=\"https:\/\/twitter.com\/gaborgurbacs\/status\/1570505693358358528?ref_src=twsrc%5Etfw\">September 15, 2022<\/a><\/p><\/blockquote>\n<p><script async src=\"https:\/\/platform.twitter.com\/widgets.js\" charset=\"utf-8\"><\/script><\/p>\n<p>A strategy advisor at VanECK, Gabor Gurbacs, wrote that Ethereum's migration from PoW to PoS &#8220;can draw regulatory attention.&#8221; Gurbacs said:<\/p>\n<blockquote><p>&#8220;To be clear, I am not saying that ETH is necessarily a security because of its proof model, but regulators do talk about staking in the context of dividends which if one feature of what securities laws call a &#8220;common enterprise&#8221;. There are other factors in the Howey test too.&#8221;<\/p><\/blockquote>\n<p>Adam Cochran argued that the commission's chairman statement is a &#8220;baseless FUD from entities that don't understand the tech, or gloss over legal elements.&#8221;<\/p>\n<blockquote class=\"twitter-tweet\" data-width=\"500\" data-dnt=\"true\">\n<p lang=\"en\" dir=\"ltr\">With Gensler&#39;s comments today, the question of &quot;Is staking Ether a security?&quot; has risen again.<\/p>\n<p>I think it&#39;s baseless FUD from entities that don&#39;t understand the tech, or gloss over legal elements.<\/p>\n<p>I wrote a rebuttal citing cases on this back in July: <a href=\"https:\/\/t.co\/rc3ieWOzSz\">https:\/\/t.co\/rc3ieWOzSz<\/a><\/p>\n<p>&mdash; Adam Cochran (adamscochran.eth) (@adamscochran) <a href=\"https:\/\/twitter.com\/adamscochran\/status\/1570530799921033216?ref_src=twsrc%5Etfw\">September 15, 2022<\/a><\/p><\/blockquote>\n<p><script async src=\"https:\/\/platform.twitter.com\/widgets.js\" charset=\"utf-8\"><\/script><\/p>\n<p>Crypto advocacy organization <a href=\"https:\/\/www.coincenter.org\/does-the-merge-change-how-ethereum-is-regulated-no\/\"><span class=\"s4\">Coin Center <\/span><\/a>in a Sept. 15 blog <a href=\"https:\/\/www.coincenter.org\/does-the-merge-change-how-ethereum-is-regulated-no\/\">post<\/a>, argued that Ethereum's transition to PoS should not affect its classification.<\/p>\n<p>The non-profit said the technological differences between PoW and PoS do not call for different treatments, saying &#8220;the economic realities of validating a chain through mining and validating a chain through staking are similar.&#8221;<\/p>\n<p>Meanwhile, Bitcoin (<a href=\"https:\/\/cryptoslate.com\/coins\/bitcoin\/\">BTC<\/a>) maximalists, including Michael Saylor, only tweeted the Wall Street Journal report. Saylor had previously <a href=\"https:\/\/cryptoslate.com\/microstrategys-michael-saylor-says-ethereum-is-security\/\">declared<\/a> ETH security.<\/p>\n<p>An investment Manager Timothy Peterson <a href=\"https:\/\/twitter.com\/nsquaredmacro\/status\/1570417613502836743?s=20&t=1iCspLOj338eDhF-npLK2Q\">said<\/a>;<\/p>\n<blockquote><p>&#8220;(An) a<span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\">verage person probably doesn\u2019t understand why, but <\/span><span class=\"r-18u37iz\">Ethereum<\/span><span class=\"css-901oao css-16my406 r-poiln3 r-bcqeeo r-qvutc0\"> is now an unregistered security.&#8221;<\/span><\/p><\/blockquote>\n","protected":false},"excerpt":{"rendered":"<p>Less than 24 hours after Ethereum (ETH) completed its transition to proof-of-stake, the crypto community is enmeshed in arguments about whether the asset can now be considered a security or not.
