{"id":198681,"date":"2021-09-11T21:00:29","date_gmt":"2021-09-11T20:00:29","guid":{"rendered":"https:\/\/cryptoslate.com\/?p=198681"},"modified":"2021-09-10T18:31:54","modified_gmt":"2021-09-10T17:31:54","slug":"sec-opposes-ripple-xrp-request-relating-to-controversial-howey-test","status":"publish","type":"post","link":"https:\/\/cryptoslate.com\/sec-opposes-ripple-xrp-request-relating-to-controversial-howey-test\/","title":{"rendered":"SEC opposes Ripple (XRP) request relating to controversial Howey test"},"content":{"rendered":"<p><span style=\"font-weight: 400;\">In its recent filing, the US Securities and Exchange Commission (SEC) opposed the request made by Ripple and its co-founder Chris Larsen to answer interrogatories regarding the agency\u2019s application of the Howey test for determining the status of <\/span><a href=\"https:\/\/cryptoslate.com\/coins\/xrp\/\"><span style=\"font-weight: 400;\">XRP<\/span><\/a><span style=\"font-weight: 400;\">.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Just recently, the SEC <\/span><a href=\"https:\/\/cryptoslate.com\/us-sec-refuses-ripples-request-to-disclose-employees-xrp-btc-holdings\/\"><span style=\"font-weight: 400;\">opposed<\/span><\/a><span style=\"font-weight: 400;\"> Ripple\u2019s request to disclose employees\u2019 crypto holdings to produce documentation regarding its \u201ctrading preclearance decisions.\u201d\u00a0<\/span><\/p>\n<h2><strong>The controversial Howey test<\/strong><\/h2>\n<p><span style=\"font-weight: 400;\">In August, Ripple and Larsen filed a <\/span><a href=\"https:\/\/www.courtlistener.com\/docket\/19857399\/326\/securities-and-exchange-commission-v-ripple-labs-inc\/\"><span style=\"font-weight: 400;\">motion<\/span><\/a><span style=\"font-weight: 400;\"> to compel the SEC to respond to its interrogatories, following the regulator\u2019s \u201cvague and ambiguous\u201d answers regarding the application of the Howey test to XRP transactions.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">As a response, the agency filed its opposition to answer interrogatories \u201cidentifying its theory of how the Howey Test applies to virtually all of Defendants\u2019 transactions in XRP over the last 8 years,\u201d as pointed out by James K. Filan, a former federal prosecutor for the US Attorney\u2019s Office for the District of Connecticut, who also shared the filing on Twitter.<\/span><\/p>\n<blockquote class=\"twitter-tweet\" data-width=\"500\" data-dnt=\"true\">\n<p lang=\"en\" dir=\"ltr\"><a href=\"https:\/\/twitter.com\/hashtag\/XRPCommunity?src=hash&ref_src=twsrc%5Etfw\">#XRPCommunity<\/a> <a href=\"https:\/\/twitter.com\/hashtag\/SECGov?src=hash&ref_src=twsrc%5Etfw\">#SECGov<\/a> v. <a href=\"https:\/\/twitter.com\/hashtag\/Ripple?src=hash&ref_src=twsrc%5Etfw\">#Ripple<\/a> <a href=\"https:\/\/twitter.com\/hashtag\/XRP?src=hash&ref_src=twsrc%5Etfw\">#XRP<\/a> The SEC has filed its Opposition to the Motion to Compel it to answer interrogatories identifying its theory of how the Howey Test applies to virtually all of Defendants\u2019 transactions in XRP over the last 8 years.<a href=\"https:\/\/t.co\/c758L9MoCJ\">https:\/\/t.co\/c758L9MoCJ<\/a><\/p>\n<p>&mdash; James K. (@FilanLaw) <a href=\"https:\/\/twitter.com\/FilanLaw\/status\/1435738350804164613?ref_src=twsrc%5Etfw\">September 8, 2021<\/a><\/p><\/blockquote>\n<p><script async src=\"https:\/\/platform.twitter.com\/widgets.js\" charset=\"utf-8\"><\/script><\/p>\n<p><span style=\"font-weight: 400;\">The ongoing lawsuit against Ripple was filed last December by the SEC, alleging that the company\u2019s sale of XRP was unregistered security offering worth more than $1.38 billion.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Determining whether and why transactions involving XRP constitute \u201cinvestment contracts\u201d and therefore securities subject to disclosure and registration requirements are central to the SEC\u2019s lawsuit.\u00a0\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The SEC\u2019s method for ascertaining what constitutes a security involves the so-called <\/span><a href=\"https:\/\/www.sec.gov\/corpfin\/framework-investment-contract-analysis-digital-assets\"><span style=\"font-weight: 400;\">Howie test<\/span><\/a><span style=\"font-weight: 400;\">, under which \u201can investment contract exists when there is the investment of money in a common enterprise with a reasonable expectation of profits to be derived from the efforts of others.\u201d<\/span><\/p>\n<h2><strong>SEC\u2019s arguments for denying further clarification<\/strong><\/h2>\n<p><span style=\"font-weight: 400;\">\u201cDefendants waited until the end of fact discovery, more than seven weeks after receiving the SEC\u2019s first interrogatory responses, to inform the SEC they considered the responses deficient,\u201d complained the agency, while opposing the request to provide further clarification.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">\u201cDefendants\u2019 argument here boils down to a complaint that they do not like the answers they received to the interrogatories at issue, in large part because the SEC\u2019s and Defendants\u2019 interpretation of the applicable law differs,\u201d added the regulator.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In a September 8 letter to US Magistrate Judge Sarah Netburn, the regulator explained that it had appropriately responded to Ripple\u2019s questions, adding that \u201cthe SEC is not required to answer the interrogatories in a way that adopts the Defendants\u2019 incorrect reading of the law.\u201d<\/span><\/p>\n","protected":false},"excerpt":{"rendered":"<p>In its recent filing, the US Securities and Exchange Commission (SEC) opposed the request made by Ripple and its co-founder Chris Larsen to answer interrogatories regarding the agency\u2019s application of the Howey test for determining the status of XRP.
