While the firm denies any wrongdoings, the increasing legal cost was key in making this decision.<\/p>\n<h2>A settlement pending for approval<\/h2>\n<p>The <a href=\"https:\/\/cryptoslate.com\/companies\/tezos-foundation\/\">Tezos Foundation<\/a> <a href=\"https:\/\/tezos.foundation\/news\/update-on-civil-litigation-involving-the-tezos-foundation\">announced<\/a> that it has entered into a settlement agreement with the plaintiffs of an ongoing class-action lawsuit. The <a href=\"https:\/\/www.scribd.com\/document\/413985566\/Tezos-Discovery-Order\">filing<\/a> claims that the firm conducted an illegal initial coin offering (ICO) and that its tokens are unregistered securities under the U.S. Securities and Exchange Commission\u2019s (SEC) <a href=\"https:\/\/www.sec.gov\/files\/dlt-framework.pdf\">framework<\/a>.<\/p>\n<p>The non-profit organization explained that it chose to settle all claims due to the rising legal costs, but maintains that the lawsuits are \u201cmeritless\u201d while denying any wrongdoings.<\/p>\n<p>The Tezos Foundation said:<\/p>\n<blockquote><p>\u201cLawsuits are expensive and time-consuming, and it was decided that the one-time financial cost of a settlement was preferable to the distractions and legal costs associated with continuing to fight in the courts.\u201d<\/p><\/blockquote>\n<p><a href=\"https:\/\/www.courtlistener.com\/recap\/gov.uscourts.cand.319743\/gov.uscourts.cand.319743.246.1.pdf\">Court papers<\/a> detail that the Swiss-based firm agreed to pay $25 million to settle the claims leaving unanswered the legality of the ICO it conducted and whether XTZ tokens qualify as securities. The <a href=\"https:\/\/www.courtlistener.com\/recap\/gov.uscourts.cand.319743\/gov.uscourts.cand.319743.246.0.pdf\">proposed deal<\/a> is still subject to the approval of U.S. District Judge Richard Seeborg of the Northern District of California.<\/p>\n<p>The proposed deal reads:<\/p>\n<blockquote><p>\u201c[A]t this preliminary approval stage, the court need only \u2018determine whether the proposed settlement is within the range of possible approval. Federal Plaintiffs believe that the proposed $25,000,000 Settlement is an excellent result for the Settlement Class in light of all of the risks of continued litigation, and falls well within a range of what is considered fair, reasonable, and adequate.\u201d<\/p><\/blockquote>\n<p>Tezos is one of many cryptocurrency companies that have been hit with class-action lawsuits for the sale of unregistered securities. <a href=\"https:\/\/cryptoslate.com\/companies\/ripple\/\">Ripple<\/a>, for instance, is dealing with a <a href=\"https:\/\/static.coindesk.com\/wp-content\/uploads\/2019\/08\/716bee37-e45e-41d2-a4e1-2d966015a277.pdf\">complaint<\/a> that could \u201cdestroy the established <a href=\"https:\/\/cryptoslate.com\/coins\/xrp\/\">XRP<\/a> market\u201d if the plaintiffs continue to move forward with it.<\/p>\n<p>In a <a href=\"https:\/\/www.courtlistener.com\/recap\/gov.uscourts.cand.334410\/gov.uscourts.cand.334410.70.0.pdf\">motion to dismiss<\/a> the lawsuit, Ripple explained:<\/p>\n<blockquote><p>\u201cWere Plaintiff allowed to belatedly challenge the classification of XRP, it would not only threaten to eliminate XRP\u2019s utility as a currency, but it would upend and threaten to destroy the established XRP market more broadly [\u2026] potentially wiping out the value held by the alleged thousands of individual XRP holders around the world.\u201d<\/p><\/blockquote>\n<p>Although the SEC is the regulatory body in charge of deciding whether a cryptocurrency is a security or not, it remains to be seen if the Tezos Foundation\u2019s efforts to reach settlement allows them to continue operating without further legal issues.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Tezos is trying to reach a settlement in a class-action lawsuit that has been dragging since 2017.
