{"id":8019,"date":"2022-07-19T22:30:00","date_gmt":"2022-07-19T22:30:00","guid":{"rendered":"http:\/\/ci02a69a9e6000269b"},"modified":"2025-02-20T05:26:35","modified_gmt":"2025-02-20T10:26:35","slug":"prospera-bitcoin-legal-tender-explained","status":"publish","type":"post","link":"https:\/\/bitcoinmagazine.com\/culture\/prospera-bitcoin-legal-tender-explained","title":{"rendered":"The Free City Of Pr\u00f3spera: Can This Island City\u2019s Bitcoin Standard Pave The Way?"},"content":{"rendered":"<div id=\"bsf_rt_marker\"><\/div><p>When Samson Mow, architect of the<a href=\"https:\/\/bitcoinmagazine.com\/business\/el-salvador-to-issue-bitcoin-bond-on-the-liquid-bitcoin-sidechain\"> \u201cBitcoin Bond<\/a>,\u201d announced that the charter city had adopted a <a href=\"https:\/\/bitcoinmagazine.com\/culture\/global-legislators-announce-pro-bitcoin-legislation\">bitcoin standard<\/a>, many watched in confusion as this small city was largely unknown. Now, <a href=\"https:\/\/prospera.hn\" target=\"_blank\" rel=\"noopener\">Pr\u00f3spera<\/a> is trying to show the world what it means to exist semi-autonomously from nation-state control while still being part of a nation-state.<\/p>\n<p><a href=\"https:\/\/bitcoinmagazine.com\/culture\/global-legislators-announce-pro-bitcoin-legislation\">Joel<\/a> Bomgar, the president of Honduras Pr\u00f3spera Incorporated (the private company behind the creation of Pr\u00f3spera) sat down virtually with Bitcoin Magazine for an interview where he referred to Pr\u00f3spera as \u201ca free city that has adopted bitcoin as legal tender.\u201d Bomgar chose these words specifically because the city isn\u2019t just about bitcoin, it\u2019s about freedom. Bitcoin just happens to be the quintessential tool for achieving its economic freedom.<\/p>\n<p>Speaking of economic freedom through the adoption of bitcoin as legal tender, one\u2019s mind might wander to thoughts of El Salvador doing this very same thing at the nation-state level. However, the scale of Pr\u00f3spera is much smaller, and the election to use bitcoin as legal tender is a choice, not a requirement. <a href=\"https:\/\/bitcoinmagazine.com\/culture\/the-polarity-of-bitcoin-in-el-salvador\">Critics<\/a> of El Salvador\u2019s have challenged the <a href=\"https:\/\/bitcoinmagazine.com\/culture\/reporting-on-bitcoin-adoption-in-el-salvador\">adoption process of El Salvador<\/a>, and while we will not discuss those differences here today, it is important to note that the forms of adoption between Pr\u00f3spera and El Salvador are vastly different.<\/p>\n<p>But what exactly is this free city, and how did it come to recognize bitcoin as legal tender?<\/p>\n<h2>Exploring Pr\u00f3spera<\/h2>\n<p>Within the paradisiacal landscape of Roat\u00e1n \u2014 a Western Caribbean tropical island off the coast of the Northern Corridor of Honduras \u2014 Pr\u00f3spera entered into a charter agreement with Honduras guaranteeing the autonomy of governance for its residents for 50 years. This agreement can be renewed and allows the charter city to create its own civil law, regulatory agencies and oversight committees, and largely act as an independent jurisdiction with its own taxation under a select <a href=\"https:\/\/prospera.hn\/news\/press-releases\/built-to-last-legal-stability-in-the-zede-framework\" target=\"_blank\" rel=\"noopener\">few restrictions<\/a> including that the City of Pr\u00f3spera must adhere to the Honduran constitution, international treaty and<a href=\"https:\/\/prospera.hn\/news\/in-the-news\/criminal-law-enforcement-in-pr%C3%B3spera\" target=\"_blank\" rel=\"noopener\"> criminal law code<\/a>.<\/p>\n<div id='gallery-1' class='gallery galleryid-8019 gallery-columns-3 gallery-size-thumbnail'><figure class='gallery-item'>\n\t\t\t<div class='gallery-icon landscape'>\n\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"150\" height=\"150\" src=\"https:\/\/bitcoinmagazine.com\/wp-content\/uploads\/2024\/11\/prospera-4-150x150.jpg\" class=\"attachment-thumbnail size-thumbnail\" alt=\"\" title=\"\">\n\t\t\t<\/div><\/figure><figure class='gallery-item'>\n\t\t\t<div class='gallery-icon landscape'>\n\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"150\" height=\"150\" src=\"https:\/\/bitcoinmagazine.com\/wp-content\/uploads\/2024\/11\/prospera-1-150x150.jpg\" class=\"attachment-thumbnail size-thumbnail\" alt=\"\" title=\"\">\n\t\t\t<\/div><\/figure><figure class='gallery-item'>\n\t\t\t<div class='gallery-icon landscape'>\n\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"150\" height=\"150\" src=\"https:\/\/bitcoinmagazine.com\/wp-content\/uploads\/2024\/11\/prospera-2-150x150.jpg\" class=\"attachment-thumbnail size-thumbnail\" alt=\"\" title=\"\">\n\t\t\t<\/div><\/figure><figure class='gallery-item'>\n\t\t\t<div class='gallery-icon landscape'>\n\t\t\t\t<img loading=\"lazy\" decoding=\"async\" width=\"150\" height=\"150\" src=\"https:\/\/bitcoinmagazine.com\/wp-content\/uploads\/2024\/11\/prospera-3-150x150.jpg\" class=\"attachment-thumbnail size-thumbnail\" alt=\"\" title=\"\">\n\t\t\t<\/div><\/figure>\n\t\t<\/div>\n\n<p><em>Images source:\u00a0<\/em><em>Bomgar<\/em><\/p>\n<p>Outside of those parameters, Pr\u00f3spera has its own <a href=\"https:\/\/pzgps.hn\/charter-bylaws-carta-constitutiva-y-reglamentos\/\" target=\"_blank\" rel=\"noopener\">constitution of a kind<\/a> as well as a <a href=\"http:\/\/pac.hn\/wp-content\/uploads\/2020\/10\/Prospera-Legal-Code-TOC-v11.10-Compressed-Protected.pdf\" target=\"_blank\" rel=\"noopener\">legal code<\/a> well over 3,500 pages in length. However, Pr\u00f3spera currently only holds hundreds of acres of land on the island of Roat\u00e1n, which means the Honduran<a href=\"https:\/\/prospera.hn\/news\/in-the-news\/prosperity-on-the-horizon\" target=\"_blank\" rel=\"noopener\"> Zone for Employment and Economic Development<\/a> (ZEDE) will initially rely heavily on digital residency through <a href=\"https:\/\/eprospera.hn\" target=\"_blank\" rel=\"noopener\">ePr\u00f3spera<\/a>, the company\u2019s digital governance platform, while it acquires more land over time.<\/p>\n<p>How will Pr\u00f3spera acquire more lands? Taxation and other fees associated with being a resident or operating company within the city will generate a multitude of revenue streams that can be used to buy more land. Of this revenue, 12% is to be remitted to the Honduran government and Pr\u00f3spera keeps the rest. There is no target of money that must be hit in terms of remittance to the Honduran government, which keeps Pr\u00f3spera from having skewed incentives for taxing or tacking on fees for its citizenry. The free city can also fundraise at any point, which it has already successfully done to the tune of <a href=\"https:\/\/prospera.hn\/news\/press-releases\/pr%C3%B3spera-will-invest-an-additional-60-million-in-honduras\" target=\"_blank\" rel=\"noopener\">$60 million<\/a>.<\/p>\n<p>Revenue aside, let\u2019s discuss the next big question.<\/p>\n<h2>How Is Bitcoin Recognized As Legal Tender?<\/h2>\n<p>Taxation. At least, that\u2019s how bitcoin was initially recognized as legal tender. In Pr\u00f3spera, <a href=\"https:\/\/prosperahn.zendesk.com\/hc\/en-us\/articles\/360052050112-Taxes-in-Pr%C3%B3spera\" target=\"_blank\" rel=\"noopener\">taxes include<\/a>: a 5% individual income tax, 2.5% sales tax for goods and services, 1% corporate revenue tax, and 1% land value tax. That\u2019s it.<\/p>\n<p>There are no other taxes (not even capital gains taxes) levied within Pr\u00f3spera. This allowed residents and businesses to transact in whatever currency they deemed appropriate which made bitcoin a de facto legal tender, if that was their choice. However, Pr\u00f3spera went one step forward in May of last year and released a <a href=\"https:\/\/pzgps.hn\/resolution-approving-qualifying-cryptocurrencies-for-payment-resolucion-por-la-que-se-aprueban-las-criptomonedas-calificadas-para-el-pago\/\" target=\"_blank\" rel=\"noopener\">resolution<\/a> for the acceptance of bitcoin and other cryptocurrencies as legal tender. The resolution states that, in order to use bitcoin, the amount of bitcoin used must be equivalent or greater to the value denominated in USD or the Honduran lempira at the time of the transaction.<\/p>\n<p>\u201cPr\u00f3spera is the world\u2019s most advanced governance platform that unlocks unlimited potential for its residents and users,\u201d Bomgar told Bitcoin Magazine. \u201cBecause it\u2019s the most innovative currency and store of value, Bitcoin plays an important role in this endeavor. Just as Pr\u00f3spera enables residents to live, work, and build their futures in a low-friction way, Bitcoin enables them to transact and store value in a low-friction, accessible way.\u201d<\/p>\n<p>Furthermore, Pr\u00f3spera has built out its regulatory <a href=\"https:\/\/prospera.hn\/news\/press-releases\/former-top-officials-of-u-s-homeland-security-fdic-difc-and-cnbs-join-pr%C3%B3spera-financial-services-authority-and-fintech-incubator\" target=\"_blank\" rel=\"noopener\">authority<\/a> for the issuance of <a href=\"https:\/\/prospera.hn\/news\/press-releases\/pr%C3%B3spera-announces-bitcoin-bond-authority-in-the-first-crypto-friendly-jurisdiction-that-is-fully-aml-kyc-compliant\" target=\"_blank\" rel=\"noopener\">Bitcoin bonds<\/a>. Currently, the plan is to mirror the issuance of Bitcoin bonds currently <a href=\"https:\/\/bitcoinmagazine.com\/markets\/el-salvador-send-bills-congress-legal-certainty-bitcoin-bond-issuance\">underway in El Salvador.<\/a> In order to do this, a platform such as Bitfinex or Blockstream would issue tokens on a Bitcoin sidechain such as the <a href=\"https:\/\/bitcoinmagazine.com\/business\/bitcoin-reserve-allows-purchase-of-blockstreams-liquid\">Liquid Network<\/a>, representing the value of the bonds. The framework for bond issuance is still not yet solidified, but Pr\u00f3spera has the freedom of being a charter city which allows for quick regulatory movement once a framework is presented.<\/p>\n<p>Now, returning back to the idea of a charter city or \u201cfree city.\u201d It&#8217;s important to detail how these entities interact with nation-states.<\/p>\n<h2>Do Charter Cities Exit Nation-States?<\/h2>\n<p>No. At least, not in this case. Mark Lutter, founder and executive director of Charter Cities Institute, wrote an essay explaining the lessons to be learned from the failing of previous charter cities, or specifically designated economic zones. In this <a href=\"https:\/\/chartercitiesinstitute.org\/updates\/charter-cities-are-not-an-exit-strategy\/\" target=\"_blank\" rel=\"noopener\">essay<\/a>, Lutter noted six necessary components to ensure success within the bounds of another nation, as charter cities will rarely hold the militaristic fortitude to defend themselves against a sovereign aggressor.<\/p>\n<p>The success of a charter city \u2014 such as Pr\u00f3spera \u2014 will depend on its capacity to drive innovation in the region while paying its fair share to its host government, according to Lutter. Pr\u00f3spera seeks to achieve this level of innovation by offering companies a customized regulatory framework.<\/p>\n<p>For instance, if you run a bitcoin exchange and there is a regulatory framework in Canada that works best for your business, you can copy and paste that framework into your operations based in Pr\u00f3spera. Not only can a company create a custom framework, but Pr\u00f3spera also enters into an agreement stating the city cannot change the regulations on you down the road. As long as you operate within the bounds of the previously mentioned legal framework, it\u2019s all customizable.<\/p>\n<p>\u201cWhat Pr\u00f3spera offers is not just a Bitcoin-friendly tax environment, but regulatory certainty that allows people to build with Bitcoin without worrying about whether a regulator will swoop in one day and change all of the rules,\u201d Bomgar explained.<\/p>\n<p>This customization entices businesses and investors to the area by allowing them to play a game of their own making, and the lax tax regulations allow the residents and businesses of Pr\u00f3spera to determine the currency they use \u2014 which in this case is bitcoin.<\/p>\n<p>\u201cMost governments have not figured out an elegant way to integrate Bitcoin into their existing regulatory framework,\u201d Bomgar continued. \u201cWe speak with people in the Bitcoin community from around the world on a daily basis, and many of their concerns are the same. Their jurisdictions don\u2019t understand Bitcoin, so they\u2019re stuck using antiquated regulations that make it difficult for them to pursue their dreams.\u201d<\/p>\n<p>\u201cWe\u2019ve found that this certainty is valuable for the Bitcoin community, and for that reason Bitcoin will be a huge part of Pr\u00f3spera well into the future,\u201d said Bomgar.<\/p>\n<p>Sounds great, right? A charter city operating within the boundaries of Honduras that can enact its own civil and corporate practices and legislation as long as it remitts and interfaces with its host government. But, how is Pr\u00f3spera governed and is the governance a risk factor?<\/p>\n<h2>The 51% Attack On Pr\u00f3spera<\/h2>\n<p>Currently, all representatives are appointed by HPI, but as more people actually move to Pr\u00f3spera there are <a href=\"https:\/\/astralcodexten.substack.com\/p\/prospectus-on-prospera\" target=\"_blank\" rel=\"noopener\">requirements<\/a> to appoint elected officials based on the population. Today, the responsibility for the <a href=\"https:\/\/docs.google.com\/document\/d\/1ia-sXZ2kVYA8Wd89SN_9_2O7uExMz8j5WkzwEAGLbmM\/edit#heading=h.ur7yzgy5lh56\" target=\"_blank\" rel=\"noopener\">governance<\/a> of Pr\u00f3spera lay in the hands of nine council members, five of whom will be elected once Pr\u00f3spera reaches a population of 100,000, while the other four will continue to be determined by Honduras Pr\u00f3spera Incorporated (HPI) the company behind Pr\u00f3spera.<\/p>\n<p>However, the council requires a 66% majority to accomplish any policy change which would mean at full operation, five elected officials would still need the participation of an HPI appointee to enforce actual change. After the council is in full effect, should the population of Pr\u00f3spera wish to initiate change for themselves, the public has the right to call a referendum. If the public disagrees with a particular decision then a referendum can be called on within seven days and overturned with a 50% majority vote. After the initial seven days, the public can still act against a policy change, but the voting requirements increase to 66% in order to repeal a law.<\/p>\n<p>Furthermore, once the population goal of 100,000 is met, eligible voters can call a <a href=\"https:\/\/astralcodexten.substack.com\/p\/prospectus-on-prospera\" target=\"_blank\" rel=\"noopener\">referendum<\/a> and change absolutely anything (as long as it operates within the aforementioned Honduran framework) with a 51% majority vote. In fact, residents could kick out HPI, return to being part of Honduras, or change the form of governance entirely. The complexities are many, but this charter city intends to remove the bureaucratic hurdles of most sophisticated nation-states and give the power of choice back to its residents.
