{"id":54223,"date":"2026-08-18T14:46:11","date_gmt":"2026-08-18T19:46:11","guid":{"rendered":"https:\/\/bitcoinmagazine.com\/?p=54223"},"modified":"2026-08-18T14:46:26","modified_gmt":"2026-08-18T19:46:26","slug":"sec-proposes-crypto-rules","status":"publish","type":"post","link":"https:\/\/bitcoinmagazine.com\/news\/sec-proposes-crypto-rules","title":{"rendered":"SEC Proposes Crypto Rulebook as Clarity Act Stalls"},"content":{"rendered":"<div id=\"bsf_rt_marker\"><\/div>\n<p class=\"wp-block-paragraph\">The Securities and Exchange Commission has proposed its own framework for crypto asset offerings, pressing ahead while landmark legislation stalls.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The regulator unveiled &#8220;Regulation Crypto Assets&#8221; on Tuesday, a tailored offering regime it <a href=\"https:\/\/www.sec.gov\/newsroom\/press-releases\/2026-76-sec-proposes-new-regulation-crypto-assets\" target=\"_blank\" rel=\"noopener\">says<\/a> will let token issuers raise money in the U.S. without falling foul of securities laws.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Tuesday&#8217;s proposal carves out two exemptions from registration under the Securities Act of 1933. The first is a one-time exemption allowing issuers to raise up to $5 million in crypto over four years. The second permits up to $75 million in any 12-month period, but comes with financial statements and ongoing reporting obligations. Both require issuers to make narrative disclosures \u2014 written explainers for investors outlying a business and its risks \u2014 available.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The rules also dangle a conditional safe harbor. Pro-crypto lawmakers had hoped to pass the Clarity Act before Congress broke for August recess, but the <a href=\"https:\/\/bitcoinmagazine.com\/news\/regulators-push-pro-crypto-clarity-act\">vote slipped<\/a> to September after Democrats balked at the latest draft. Some Republican senators \u2014 like Senator Cynthia Lummis \u2014 accused some of deliberately holding it back.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Regulators aren&#8217;t waiting. CFTC Chairman Michael Selig has said he will proceed with rulemaking whether or not the Clarity Act is enacted, aiming to finalise rules before the administration&#8217;s term is out.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The proposal builds on the SEC&#8217;s March interpretation of how securities laws apply to crypto.
