As initially reported two days ago in its public offering, the notes \u201cdo not bear regular interest, and the principal amount of the notes does not accrete.\u201d The due date for the notes will still be on February 15, 2027.<\/p>\n<p>There\u2019s no surprise here in that \u201cMicroStrategy intends to use the net proceeds from the sale of the notes to acquire additional bitcoin,\u201d as this latest release reaffirmed. MicroStrategy\u2019s speculative attack on the U.S. dollar continues!<\/p>\n<p>Just one day after CEO Michael Saylor <a href=\"https:\/\/bitcoinmagazine.com\/articles\/microstrategy-to-offer-another-600-million-of-convertible-notes-to-buy-more-bitcoin\">announced<\/a> that his company MicroStrategy was proposing a private offering of $600 million of convertible senior notes to buy more bitcoin, he announced that the offering will actually be $900 million of notes, according to a <a href=\"https:\/\/www.microstrategy.com\/en\/investor-relations\/press\/microstrategy-announces-pricing-of-offering-of-convertible-senior-notes_02-17-2021\" target=\"_blank\" rel=\"noopener\">release<\/a>.&nbsp;<\/p>\n<blockquote class=\"twitter-tweet\" data-width=\"550\" data-dnt=\"true\">\n<p lang=\"en\" dir=\"ltr\">MicroStrategy Announces Pricing of Offering of Convertible Senior Notes  <a href=\"https:\/\/twitter.com\/search?q=%24MSTR&amp;src=ctag&amp;ref_src=twsrc%5Etfw\" target=\"_blank\" rel=\"noopener\">$MSTR<\/a><a href=\"https:\/\/t.co\/jjyklHpXzp\">https:\/\/t.co\/jjyklHpXzp<\/a><\/p>\n<p>&mdash; Michael Saylor\u26a1\ufe0f (@saylor) <a href=\"https:\/\/twitter.com\/saylor\/status\/1362017837372563459?ref_src=twsrc%5Etfw\" target=\"_blank\" rel=\"noopener\">February 17, 2021<\/a><\/p><\/blockquote>\n<p><script async src=\"https:\/\/platform.twitter.com\/widgets.js\" charset=\"utf-8\"><\/script><\/p>\n<p>The terms around this offering were also further clarified from what was first proposed, as it was announced that they will not bear interest, and the principal amount of the notes won\u2019t accrete. These notes will mature on February 15, 2027 unless they are repurchased earlier.<\/p>\n<p>The February 17 release states that MicroStrategy \u201cestimates that the net proceeds from the sale of the notes will be approximately $879.3 million (or approximately $1.0 billion if the initial purchasers exercise in full their option to purchase additional notes), after deducting the initial purchasers\u2019 discounts and commissions and estimated offering expenses payable by MicroStrategy.\u201d&nbsp;<\/p>\n<p>As announced in the original proposal, the February 17 release reaffirmed that MicroStrategy will offer the purchaser the option to purchase the notes \u201cwithin a 13-day period beginning on, and including, the date on which the notes are first issued,\u201d but today\u2019s announcement clarified that this would only be the case for \u201cup to an additional $150 million aggregate principal amount of the notes.\u201d<\/p>\n<p>If there was any doubt about the intentions for the use of this money, following MicroStrategy\u2019s ongoing bitcoin buying as well as its proposal from yesterday, the February 17 announcement stated that the company \u201cintends to use the net proceeds from the sale of the notes to acquire additional bitcoin.\u201d<\/p>\n<p>There is only 21 million bitcoin out there for the entire world, ever. This is just one company, taking on massive debt to buy more bitcoin yet again, front-running all its competitors and other institutions in the process. If other big players want to keep pace with MicroStrategy, they\u2019re going to have to not only accumulate massive amounts of bitcoin as well, but also likely take on debt to do their best to catch up.&nbsp;<\/p>\n<p>MicroStrategy has set a new standard for companies when it comes to preserving shareholder value.
