pushing<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">At the center of <\/span><a href=\"https:\/\/www.sec.gov\/files\/ripple-letter-crypto-task-force-010926.pdf\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">Ripple\u2019s submission<\/span><\/a><span style=\"font-weight: 400;\"> is a bright-line distinction between a securities transaction and the asset that trades afterwards.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Ripple argues that securities law should only apply where there is privity \u2014 a direct legal relationship between the issuer and buyer in a primary sale that creates enforceable rights and obligations.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Once that relationship ends, the token should no longer be subject to securities jurisdiction.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Ripple warned that treating every issuer sale as a permanent capital raise leads to what it calls the \u201czombie promise\u201d problem, where decades-old statements are deemed legally binding on secondary-market buyers who never saw them.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In mature markets, such as crypto exchanges, Ripple argues that commodity-style rules, rather than securities law, should govern trading. <\/span><\/p>\n<p><span style=\"font-weight: 400;\">This is because buyers are relying on liquidity, price discovery, and utility rather than issuer promises.\u00a0<\/span><\/p>\n<h2><b>Why this matters for XRP<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Ripple\u2019s position directly reflects its multi-year legal battle with the SEC over whether <a href=\"https:\/\/ambcrypto.com\/ripple-sec-settlement-partial-fine-stays-injunction-to-be-lifted\/\" target=\"_blank\" rel=\"noopener\">XRP is a security<\/a>.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The SEC\u2019s original lawsuit was based on the idea that Ripple\u2019s sales of XRP created an ongoing investment contract. <\/span><\/p>\n<p><span style=\"font-weight: 400;\">Ripple is now arguing that even if XRP was once distributed through securities-like transactions, the token itself should not carry permanent securities status once those promises
