{"id":496720,"date":"2025-05-30T19:30:52","date_gmt":"2025-05-30T14:00:52","guid":{"rendered":"https:\/\/ambcrypto.com\/?p=496720"},"modified":"2025-05-30T16:04:20","modified_gmt":"2025-05-30T10:34:20","slug":"sec-clarifies-proof-of-stake-isnt-security-road-clear-for-spot-eth-etf-staking","status":"publish","type":"post","link":"https:\/\/ambcrypto.com\/sec-clarifies-proof-of-stake-isnt-security-road-clear-for-spot-eth-etf-staking\/","title":{"rendered":"SEC clarifies proof-of-stake isn\u2019t \u2018security\u2019 &#8211; Road clear for spot ETH ETF staking?\u00a0"},"content":{"rendered":"<ul>\n<li style=\"font-weight: 400;\"><em><span style=\"font-weight: 400;\">SEC clarification cleared a key legal obstacle for U.S. spot ETH ETF staking.<\/span><\/em><\/li>\n<li style=\"font-weight: 400;\"><em><span style=\"font-weight: 400;\">ETF investors&#8217; losses increased above 20% as ETH struggled to reclaim $3K.\u00a0<\/span><\/em><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The U.S. Securities and Exchange Commission (SEC), Division of Corporation Finance, clarified that some staking activities are not security transactions.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Commenting on the directive, Commissioner Hester Pierce <\/span><a href=\"https:\/\/www.sec.gov\/newsroom\/speeches-statements\/peirce-statement-protocol-staking-052925\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">acknowledged<\/span><\/a><span style=\"font-weight: 400;\"> it as a \u2018welcome clarity\u2019 for firms offering staking services.\u00a0<\/span><\/p>\n<blockquote><p><span style=\"font-weight: 400;\">\u201cToday\u2019s statement provides welcome clarity for stakers and \u201cstaking-as-a-service\u201d providers in the United States. The Division\u2019s statement is applicable to persons who self-stake certain covered crypto assets on a proof-of-stake or delegated proof-of-stake network.\u201d<\/span><\/p><\/blockquote>\n<h2>Is ETH ETF staking approval likely?<\/h2>\n<p><span style=\"font-weight: 400;\">This meant that PoS systems like <a href=\"https:\/\/ambcrypto.com\/category\/ethereum-news\/\" target=\"_blank\" rel=\"noopener\">Ethereum [ETH]<\/a>, Solana [SOL], Cardano, and others are non-securities. <\/span><\/p>\n<p><span style=\"font-weight: 400;\">Besides, the guidance applied to self and custodial (delegated) staking, including liquid staking, according to <\/span><a href=\"https:\/\/x.com\/RebeccaRettig1\/status\/1928225720062325075\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">Rebecca Rettig<\/span><\/a><span style=\"font-weight: 400;\">, Jito Labs&#8217; legal officer.\u00a0<\/span><\/p>\n<blockquote><p><span style=\"font-weight: 400;\">\u201cThis bodes very well for other types of non-custodial staking activity, including liquid staking.\u201d<\/span><\/p><\/blockquote>\n<p><span style=\"font-weight: 400;\">Compared to the Biden-era regime, this was a massive shift.\u00a0 The Biden-era SEC fined Kraken exchange $30M, claiming that its staking service constituted unregistered security offerings. <\/span><\/p>\n<p><span style=\"font-weight: 400;\">Now, under the new Trump-era SEC, offering such service doesn\u2019t need registration with the agency.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">This followed a similar <a href=\"https:\/\/ambcrypto.com\/sec-confirms-proof-of-work-mining-isnt-a-securities-violation-crypto-miners-rejoice\/\" target=\"_blank\" rel=\"noopener\">update<\/a> on PoW (proof-of-work) or mining-based blockchains like Bitcoin. Put differently, both PoW and PoS arrangements aren\u2019t securities offerings. <\/span><\/p>\n<p><span style=\"font-weight: 400;\">This begs the question: Will the agency greenlight the much-sought U.S. spot ETH ETF staking? <\/span><span style=\"font-weight: 400;\">ETF Store\u2019s Nate Geraci <\/span><a href=\"https:\/\/x.com\/NateGeraci\/status\/1928242545110200555\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">noted<\/span><\/a><span style=\"font-weight: 400;\"> that the only remaining hurdle was the IRS tax clarification.\u00a0<\/span><\/p>\n<blockquote><p><span style=\"font-weight: 400;\">\u201cAnother hurdle cleared for staking in spot ETH ETFs. Now need clarity from IRS on how staking revenue handled in grantor trust (which is the structure used for spot ETH ETFs).\u201d<\/span><\/p><\/blockquote>\n<p><span style=\"font-weight: 400;\">In Q2, <\/span><a href=\"https:\/\/ambcrypto.com\/ethereum-staking-hits-record-high-etf-inflows-turn-bullish-impact-on-market\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">ETH staking<\/span><\/a><span style=\"font-weight: 400;\"> saw renewed interest, growing from 33M ETH to over 34M ETH, with an average annualized return of 3%. <\/span><\/p>\n<p><span style=\"font-weight: 400;\">If approved, ETF buyers could enjoy these staking rewards without worrying about the complicated ways of staking individual ETH or the risks involved.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">So, staking rewards could improve demand for products apart from relying on price appreciation alone. In fact, most ETH ETF holders were underwater, <\/span><a href=\"https:\/\/20368641.fs1.hubspotusercontent-na1.net\/hubfs\/20368641\/Glassnode%20x%20CME%20Reports\/Glassnode_CME_Market%20Trends%20Report_ETH_H1-2025.pdf\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">according<\/span><\/a><span style=\"font-weight: 400;\"> to Glassnode.\u00a0<\/span><\/p>\n<blockquote><p><span style=\"font-weight: 400;\">\u201cThe average investor in the BlackRock and Fidelity Ethereum ETFs are now substantially underwater on their position, holding an unrealized loss of approximately -21% on average.\u201d<\/span><\/p><\/blockquote>\n<figure id=\"attachment_496730\" aria-describedby=\"caption-attachment-496730\" style=\"width: 810px\" class=\"wp-caption aligncenter\"><a href=\"https:\/\/ambcrypto.com\/wp-content\/uploads\/2025\/05\/Screenshot-2025-05-30-121337.png\"><img decoding=\"async\" class=\"size-full wp-image-496730\" src=\"https:\/\/ambcrypto.com\/wp-content\/uploads\/2025\/05\/Screenshot-2025-05-30-121337.png\" alt=\"Ethereum\" width=\"810\" height=\"459\" srcset=\"https:\/\/ambcrypto.com\/wp-content\/uploads\/2025\/05\/Screenshot-2025-05-30-121337.png 810w, https:\/\/ambcrypto.com\/wp-content\/uploads\/2025\/05\/Screenshot-2025-05-30-121337-300x170.png 300w, https:\/\/ambcrypto.com\/wp-content\/uploads\/2025\/05\/Screenshot-2025-05-30-121337-768x435.png 768w\" sizes=\"(max-width: 810px) 100vw, 810px\" \/><\/a><figcaption id=\"caption-attachment-496730\" class=\"wp-caption-text\">Source: Glassnode<\/figcaption><\/figure>\n<p><span style=\"font-weight: 400;\">That said, the positive news didn\u2019t stir the ETH price.
