{"id":196998,"date":"2021-11-03T19:30:03","date_gmt":"2021-11-03T14:00:03","guid":{"rendered":"https:\/\/ambcrypto.com\/?p=196998"},"modified":"2021-11-03T18:46:35","modified_gmt":"2021-11-03T13:16:35","slug":"connecticut-jury-decides-mining-related-crypto-products-do-not-count-as-securities","status":"publish","type":"post","link":"https:\/\/ambcrypto.com\/connecticut-jury-decides-mining-related-crypto-products-do-not-count-as-securities\/","title":{"rendered":"Connecticut jury decides mining related crypto-products do not count as securities"},"content":{"rendered":"<p><span data-preserver-spaces=\"true\">In a &#8220;first-of-its-kind verdict,&#8221; a Connecticut jury <a href=\"https:\/\/www.law360.com\/technology\/articles\/1436790\/crypto-mining-linked-products-weren-t-securities-jury-finds\">found<\/a> that multiple digital-asset products linked to a cryptocurrency mining operation cannot be considered as &#8220;securities.&#8221; <\/span><span data-preserver-spaces=\"true\">This verdict has come at a crucial juncture. The U.S. is already in the middle of a debate pertaining to the stretched out Ripple vs SEC lawsuit.\u00a0<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">The jury found that digital products in question, including a virtual currency and a digital wallet, were not investment contracts, as reported by <a href=\"https:\/\/www.law360.com\/technology\/articles\/1436790\/crypto-mining-linked-products-weren-t-securities-jury-finds\">Law360<\/a>.\u00a0<\/span><span data-preserver-spaces=\"true\">In this case, the petitioners were customers of a mining company that sold Hashlets, Hashpoints, Paycoin and HashStakers. These customers alleged all the above four products were &#8220;unregistered securities.&#8221; <\/span><\/p>\n<p><span data-preserver-spaces=\"true\">But the jury found otherwise. This could be a surprise for the SEC considering even Hashlets didn&#8217;t fit the definition. The report noted that in a previous case against Garza, the SEC had described the product as an <a href=\"https:\/\/www.sec.gov\/litigation\/litreleases\/2017\/lr23960.htm\">unregistered<\/a> &#8220;security.&#8221;\u00a0<\/span><\/p>\n<h3>Unclear regulations<\/h3>\n<p><span data-preserver-spaces=\"true\">Recently, in an <a href=\"https:\/\/www.youtube.com\/watch?v=EfXRfw1RFNg\">interview<\/a> with CNBC, Senator Cynthia Lummis claimed that except Bitcoin, all other crypto assets are &#8220;looking more like securities.&#8221; In fact, she based it on the argument that other crypto assets are not as decentralized as Bitcoin and their founders kept a large portion of the product to &#8220;themselves.&#8221;<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">And because of this reason, Lummis concluded,<\/span><\/p>\n<blockquote><p>&#8220;Bitcoin is the standard. Everything else has to be monitored differently because they are created differently.&#8221;<\/p><\/blockquote>\n<p><span data-preserver-spaces=\"true\">It is also noteworthy that Congressman Tom Emmer, who is part of the U.S. Congressional Blockchain Caucus, held a contrary view. He has expressed his disagreement with the SEC chief in calling &#8220;all tokens&#8221; securities. He had recently opined in an <a href=\"http:\/\/ambcrypto.com\/with-crypto-bills-in-queue-genslers-take-on-crypto-is-intentional\/\">interview<\/a>,\u00a0<\/span><\/p>\n<blockquote><p><span data-preserver-spaces=\"true\">&#8220;I think the community would disagree. Most of us would say, the vast majority of tokens out there are either a currency or a commodity.&#8221;<\/span><\/p><\/blockquote>\n<h3>The SEC view<\/h3>\n<p><span data-preserver-spaces=\"true\">In a <a href=\"http:\/\/ambcrypto.com\/congressmen-seek-clarity-from-sec-chief-gensler-on-yield-products-stablecoins\/\">letter<\/a> to chair Gary Gensler last week, Emmer along with fellow Congressmen also sought clarity on SEC&#8217;s standard to apply the securities law.\u00a0<\/span><span data-preserver-spaces=\"true\">It is noteworthy that he cited two case laws, namely Marine Bank vs. Weaver and Reves vs. Ernst &amp; Young in the letter. These cases are often used to identify if certain transactions or entities are dealing with &#8220;securities&#8221;. <\/span><\/p>\n<p><span data-preserver-spaces=\"true\">As per the\u00a0<\/span><a class=\"editor-rtfLink\" href=\"https:\/\/www.sec.gov\/corpfin\/framework-investment-contract-analysis-digital-assets\" target=\"_blank\" rel=\"noopener\"><span data-preserver-spaces=\"true\">SEC<\/span><\/a><span data-preserver-spaces=\"true\"> regulations, &#8220;security&#8221; includes an &#8220;investment contract.&#8221; The SEC website also states that the &#8220;<a href=\"http:\/\/ambcrypto.com\/do-sec-claims-against-coinbase-crypto-lending-product-hold-water\/\">Howey<\/a> test&#8221; applies to any &#8220;contract, scheme, or transaction, regardless of whether it has any of the characteristics of typical securities.&#8221;<\/span><\/p>\n","protected":false},"excerpt":{"rendered":"<p>In a &#8220;first-of-its-kind verdict,&#8221; a Connecticut jury found that multiple digital-asset products linked to a cryptocurrency mining operation cannot be considered as &#8220;securities.&#8221; This verdict has come at a crucial juncture.
